History

SCA Property Group is a stapled trust structure which was created by Woolworths Limited (Woolworths) as a landlord for a number of its owned shopping centres in October 2012. The trusts were created by Woolworths transferring its ownership in those shopping centres to SCA Property Group and then transferring the ownership in SCA Property Group to Woolworths shareholders (called an in-specie distribution).

Each Woolworths shareholder received one stapled unit in SCA Property Group for every five Woolworths shares that they held on 30 November 2012.

SCA Property Group also raised capital of $472m at the time of listing on the ASX.

Woolworths has no ownership interest in SCA Property Group following its listing. SCA Property Group is an independent entity with its own Board and management team.

SCA Property Group ('SCP' is the ASX code) was admitted to the official list of ASX in November 2012 and commenced trading on 19 December 2012 on a normal settlement basis.
